TERMS OF SERVICE

1. About strinkl

strinkl is a product of Anita Labs, Inc., a Delaware corporation ("Anita Labs," "we," "us," or "our"). Brands use strinkl to run content and creator programs, including UGC, affiliate, and influencer partnerships, from a single platform, covering creator onboarding, campaign management, real-time performance and attribution insights, and payments. Creators use strinkl to build a profile, join brand campaigns, and receive payment for their participation. strinkl is not a talent agency, employer, or guarantor of work. We facilitate campaign operations, discovery, and payments, but do not control or guarantee outcomes of any partnership.

2. Eligibility

To use the Services, you must:

• Be at least 16 years old
• Have the legal capacity to enter into a binding agreement
• Provide accurate and complete information when creating an account

By using strinkl, you represent and warrant that you meet these requirements.

3. Account Registration and Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Keeping your account information accurate and up to date

You agree not to share your account or allow others to access it without our permission. We may suspend or terminate accounts that violate these Terms.

4. Creator Profiles and Content

You retain ownership of the content you submit, including profile information, images, and descriptions ("User Content").

By submitting User Content, you grant Anita Labs a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating, promoting, and improving the Services.

You represent that you have all necessary rights to the content you submit and that it does not infringe on the rights of others.

5. Campaign Participation

5a. For Brands:

Brands use strinkl to create and manage content and creator campaigns, including UGC, affiliate, and influencer partnerships. This includes inviting and onboarding creators, setting campaign terms, accessing real-time performance and attribution data, and issuing payments to creators through the platform.

By creating a campaign on strinkl, you authorize us to:

• Share relevant campaign details with creators invited to or applying for participation
• Collect and display performance and attribution data associated with your campaign
• Facilitate payments to participating creators in accordance with your campaign terms and funded budget

strinkl does not guarantee creator participation, content performance, or campaign outcomes. You are responsible for ensuring your campaign terms, including compensation, usage rights, and content guidelines, are clearly communicated to participating creators.

5b. For Creators:

By using strinkl, you authorize us to:

• Share your relevant profile and performance information with brands running campaigns on the platform
• Use your preferences and data to surface relevant campaign opportunities
• Submit your profile for enrollment into brand campaigns you choose to join

strinkl does not guarantee:

• Acceptance into any campaign
• The availability, frequency, or quality of campaign opportunities
• Compensation, payment timing, or terms beyond what is expressly stated in a given campaign

All campaign terms, including compensation and content usage rights, are set by the brand running the campaign. Where Anita Labs facilitates payment on a brand's behalf through the strinkl platform, such payment is subject to the campaign's funded status and terms, as described in Section 6.

6. Payments and Fees

Brands pay strinkl for access to certain features, such as payouts, attribution, and analytics:

• Pricing and billing terms will be clearly disclosed before purchase
• Payments may be processed by third-party payment providers
• Fees are non-refundable unless otherwise stated

Where Anita Labs facilitates payments from brands to creators through the strinkl platform, such payments are subject to the applicable campaign terms and the availability of pre-funded campaign budgets. Anita Labs is not responsible for payments owed to you directly by brands outside of the strinkl platform.

7. Acceptable Use

You agree not to:

• Use the Services for unlawful or fraudulent purposes
• Misrepresent your identity, audience, or content performance
• Upload false, misleading, or harmful content
• Attempt to interfere with or disrupt the platform
• Scrape, reverse engineer, or exploit the Services without permission
• Use the Services to harass, abuse, or harm any other user or third party
• Misuse creator or brand data accessed through the platform
• Fail to fund a campaign you have launched on the platform in accordance with its stated terms

We reserve the right to remove content or suspend accounts that violate these rules, at our sole discretion and without prior notice.

8. Third-Party Services

strinkl integrates with and links to third-party platforms, marketplaces, and services. We do not control and are not responsible for their content, actions, terms, policies, or business practices. Your use of third-party services is governed by their respective terms.

9. Termination

You may stop using the Services at any time by deactivating your account.

We may suspend or terminate your account if:

• You violate these Terms
• We are required to do so by law
• Continued access poses risk to the platform, other users, or Anita Labs

If your account is a brand account with active or pending campaigns, termination does not relieve you of any payment obligations for creators who have already participated in or completed work under a funded campaign. Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination will survive, including Sections 4, 4b, 5, 6, 10, 11, 12, 13, and 14.

10. Disclaimers

ANITA LABS MAKES NO WARRANTIES REGARDING THE AVAILABILITY OF CAMPAIGN OPPORTUNITIES, SUCCESS OF BRAND CAMPAIGNS OR CREATOR PARTNERSHIPS, ACCURACY OF PERFORMANCE OR ATTRIBUTION DATA, OR THIRD-PARTY DATA.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANITA LABS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages
• Lost income, profits, data, or business opportunities
• Disputes between creators and brands or marketplaces
• Any interruption, suspension, or termination of the Services

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Anita Labs and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Before initiating any formal dispute, you agree to first contact us at support@strinkl.com and attempt to resolve the dispute informally. If we are unable to resolve the dispute within thirty (30) days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) in San Francisco, California, under the AAA's Consumer Arbitration Rules. The arbitrator's decision will be final and binding.

YOU AND ANITA LABS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

Nothing in this Section limits either party's right to seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through the platform. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Services.

15. Privacy

Your use of the Services is also governed by our Privacy Policy, available at strinkl.com/privacy. By using the Services, you consent to the collection and use of your information as described therein.
